Terms and Conditions

These Terms and Conditions ("Terms") govern the access to and use of the RepProX platform, website, mobile applications, software services, and related products (collectively, the "Services") provided by ALLE TECH LLC FZ, a company incorporated in Dubai, United Arab Emirates ("ALLE TECH", "RepProX", "Company", "we", "our", or "us").
By accessing, registering for, subscribing to, or using the Services, the Customer agrees to be bound by these Terms.
1. Definitions
For the purposes of these Terms:
Account means a registered customer account used to access the Services.
Authorized User means any employee, contractor, representative, or individual authorized by the Customer to use the Services.
Customer means the legal entity subscribing to the Services.
Customer Data means any information, records, documents, files, images, transactions, GPS data, operational data, or other content entered, uploaded, generated, or processed through the Services by the Customer.
Subscription means the purchased right to access and use the Services during an agreed subscription period.
Services means the RepProX web application, mobile applications, APIs, website, support services, and related software functionality.
2. Service Description
RepProX is a cloud-based Field Operations and Workforce Automation Platform designed to support organizations in managing and optimizing field activities including but not limited to:
- Sales Automation
- Van Sales Operations
- Route Planning
- Delivery Management
- Field Service Operations
- Customer Visits
- Inspections
- Collections
- Inventory Activities
- Workforce Tracking
- Attendance Activities
- Survey Management
- Reporting and Analytics
- AI-Assisted Recommendations
RepProX may add, modify, improve, suspend, or discontinue specific features from time to time.
3. Eligibility
The Services are intended solely for business and professional use.
By using the Services, the Customer represents and warrants that:
- It possesses the legal authority to enter into these Terms.
- All information provided is accurate and complete.
- It will comply with all applicable laws and regulations.
4. Account Responsibilities
The Customer is responsible for:
- Maintaining account confidentiality.
- Protecting usernames and passwords.
- Managing authorized users.
- Ensuring compliance by all authorized users.
The Customer remains fully responsible for all activities performed under its account.
RepProX shall not be liable for unauthorized account access resulting from customer negligence.
5. License Grant
Subject to payment of applicable fees and compliance with these Terms, ALLE TECH grants the Customer a limited, non-exclusive, non-transferable, revocable subscription license to access and use the Services solely for internal business purposes.
No ownership rights are transferred.
All rights not expressly granted remain reserved by ALLE TECH.
6. Subscriptions and Fees
Services may be offered under:
- Monthly subscriptions
- Annual subscriptions
- Enterprise agreements
- Custom commercial arrangements
Subscription fees are invoiced according to the applicable agreement between the parties.
Failure to pay invoices when due may result in:
- Suspension of access
- Restriction of services
- Termination of subscriptions
The Customer remains responsible for all applicable taxes, duties, and governmental charges.
7. No Refund Policy
Except where required by applicable law or expressly agreed in writing:
- Subscription fees are non-refundable.
- Implementation fees are non-refundable.
- Professional service fees are non-refundable.
- Partial subscription periods are not eligible for refunds.
8. Acceptable Use
The Customer shall not:
- Use the Services for unlawful purposes.
- Attempt to gain unauthorized access to systems or data.
- Reverse engineer, decompile, or disassemble the software.
- Introduce malware, viruses, or malicious code.
- Interfere with platform security.
- Resell, sublicense, lease, or distribute the Services without written authorization.
Violation of this section may result in immediate suspension or termination.
9. Customer Data Ownership
The Customer retains full ownership of all Customer Data.
ALLE TECH does not claim ownership of Customer Data.
The Customer grants ALLE TECH a limited right to process Customer Data solely for:
- Delivering the Services
- Providing technical support
- Performing maintenance
- Security monitoring
- Legal and regulatory compliance
Under no circumstances shall Customer Data be sold to third parties.
10. Data Retention and Deletion
Following subscription termination:
- Customer Data will remain available for export for thirty (30) days.
- Customers may request data export in commonly used formats including CSV, Excel, or database backup formats where technically feasible.
- After the retention period, ALLE TECH may permanently delete Customer Data.
The Customer is responsible for requesting data exports prior to deletion.
11. Privacy
The collection and processing of personal information are governed by the RepProX Privacy Policy.
The Privacy Policy forms an integral part of these Terms.
12. Location Services
Certain platform functionality may utilize GPS and location-based services.
By enabling such functionality, the Customer acknowledges that:
- Location information may be collected.
- Route information may be processed.
- Visit activities may be recorded.
- Workforce movement data may be generated.
Customers are responsible for obtaining all necessary employee consents and notices required under applicable laws.
13. AI-Powered Features
RepProX may provide AI-generated recommendations, forecasts, summaries, insights, analytics, or operational suggestions.
Such outputs are provided solely for informational and assistance purposes.
The Customer remains solely responsible for:
- Business decisions
- Financial decisions
- Commercial decisions
- Operational decisions
- Regulatory compliance
ALLE TECH does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.
14. Third-Party Services
RepProX may integrate with third-party platforms including:
- ERP systems
- Mapping providers
- Messaging platforms
- Cloud infrastructure providers
- Authentication services
- Payment providers
ALLE TECH is not responsible for outages, failures, policy changes, or interruptions caused by third-party services.
15. Service Availability
ALLE TECH will use commercially reasonable efforts to maintain service availability.
The target service availability is governed by the applicable Service Level Agreement (SLA).
Availability may be affected by:
- Scheduled maintenance
- Security incidents
- Force majeure events
- Internet outages
- Third-party provider disruptions
No software service can be guaranteed to operate without interruption.
16. Intellectual Property
RepProX and all associated materials remain the exclusive intellectual property of ALLE TECH LLC FZ.
This includes:
- Source code
- Software architecture
- Databases
- Documentation
- Designs
- Logos
- Trademarks
- Trade secrets
- Proprietary methodologies
Unauthorized use is strictly prohibited.
17. Confidentiality
Both parties agree to protect confidential information disclosed during the course of the business relationship.
Neither party shall disclose confidential information to third parties except where legally required.
These obligations survive termination.
18. Warranties Disclaimer
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, ALLE TECH disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Continuous availability
19. Limitation of Liability
To the maximum extent permitted by law: ALLE TECH shall not be liable for:
- Indirect damages
- Consequential damages
- Special damages
- Incidental damages
- Loss of revenue
- Loss of profits
- Loss of business opportunities
- Loss of goodwill
- Loss of data
The total aggregate liability of ALLE TECH shall not exceed the fees paid by the Customer during the twelve (12) months immediately preceding the claim.
20. Indemnification
The Customer agrees to indemnify and hold harmless ALLE TECH from claims, damages, liabilities, costs, and expenses arising from:
- Customer misuse of the Services.
- Violation of applicable laws.
- Infringement caused by Customer Data.
- Breach of these Terms.
21. Termination
ALLE TECH may suspend or terminate access if:
- Fees remain unpaid.
- The Customer breaches these Terms.
- Continued access presents security risks.
- Required by law.
Termination does not relieve the Customer of outstanding payment obligations.
22. Force Majeure
Neither party shall be liable for delays or failures resulting from events beyond reasonable control including:
- Natural disasters
- Government actions
- Cyberattacks
- Labor disputes
- Telecommunications failures
- Internet disruptions
- Pandemics
23. Changes to Terms
ALLE TECH reserves the right to modify these Terms at any time.
Updated versions shall be published on the website.
Continued use of the Services constitutes acceptance of the revised Terms.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
25. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
